Terms of Service

1. Introduction and Definitions

These Terms of Service ("Terms") govern your use of the Berengario hosted service ("Service") operated by Giorgio Gilestro ("we", "us", "our"), an individual sole trader based in the United Kingdom.

In these Terms:

  • "Service" means the Berengario hosted platform accessible at ask.berengar.io, including email integration, web interface, document processing, and AI-powered question answering.
  • "Account" means a registered tenant instance on the Service.
  • "Customer" or "you" means the individual or organisation that creates an Account.
  • "User" means any individual authorised by the Customer to use the Service.
  • "Knowledge Base" means the collection of documents and content you upload to the Service.
  • "Query" means a question submitted to the Service via email or the web interface that triggers a retrieval and AI response.

2. Account Registration

To use the Service, you must create an Account and provide accurate, complete information. You are responsible for maintaining the security of your Account credentials and for all activity that occurs under your Account.

You must be at least 18 years old and have the legal authority to bind your organisation (if applicable) to these Terms.

3. Free Trial

Every new Account starts with a 3-month free trial on the Department tier, which includes up to 10,000 queries per month and 50 GB of document storage. No payment details are required during the trial period.

At the end of the trial, you may choose a paid plan to continue using the Service. If you do not select a plan, your Account will be suspended and your data retained for 30 days, after which it may be deleted.

4. Plans and Pricing

The Service is offered on a usage-based model with the following tiers:

All plans are billed annually and include unlimited users, AI processing costs, email hosting, maintenance, and backups. All prices exclude VAT.

For volumes beyond the Department tier, please contact us to discuss custom arrangements.

5. Billing and Payment

Payments are processed by Paddle.com Market Limited ("Paddle"), who acts as the merchant of record for all transactions. Paddle handles VAT collection, invoicing, and compliance with local tax regulations on our behalf.

By subscribing to a paid plan, you agree to Paddle's terms of service and privacy policy.

Subscriptions renew automatically each year. You may cancel at any time; cancellation takes effect at the end of the current billing period. See Section 6 (Refunds) for our refund policy.

6. Refunds

Because the Service involves ongoing infrastructure and AI processing costs from the moment of activation, refunds are handled as follows:

  • Free trial. No payment is taken during the trial, so no refund applies.
  • Annual subscriptions. If you cancel an annual subscription, you will receive a pro-rata refund for the full unused months remaining in the billing period. For example, if you cancel after 4 months of a 12-month subscription, you will be refunded for the remaining 8 months. Partial months are not refunded.
  • Monthly subscriptions. No refunds are provided for monthly subscriptions. Cancellation takes effect at the end of the current monthly billing period.
  • Cooling-off period. If you are a consumer in the UK or EU, you may request a full refund within 14 days of your first paid subscription, provided you have not exceeded 50 queries during that period. To request a refund, email support@berengar.io.
  • Service-initiated termination. If we terminate your Account for our convenience (i.e. not due to a breach of these Terms), you will receive a pro-rata refund for the unused portion of your billing period.
  • Billing errors. If you believe you have been charged in error, please contact us within 30 days of the charge. Verified billing errors will be refunded in full.

All refunds are processed through Paddle, our merchant of record, and will be returned to the original payment method. Refund processing times depend on your payment provider.

7. Your Content

You retain all ownership rights to the documents, emails, and other content you upload to the Service ("Your Content"). We do not claim any intellectual property rights over Your Content.

By uploading content, you grant us a limited licence to process, store, index, and retrieve Your Content solely for the purpose of providing the Service to you. This licence terminates when you delete your content or close your Account.

You are solely responsible for ensuring that you have the legal right to upload and process Your Content, including any necessary permissions from third parties.

8. Our Intellectual Property

The Service, including its software, design, documentation, and branding, is owned by us and protected by intellectual property laws. The underlying Berengario software is released under the MIT licence, but the hosted Service, its infrastructure, and configuration are proprietary.

These Terms do not grant you any rights to our trademarks, logos, or branding.

9. Acceptable Use

Your use of the Service is subject to our Acceptable Use Policy, which forms part of these Terms. We reserve the right to suspend or terminate Accounts that violate the Acceptable Use Policy.

10. Data Processing

We process personal data in accordance with our Privacy Policy and, where applicable, our Data Processing Agreement. The Privacy Policy describes what data we collect, how we use it, and your rights.

The Service uses third-party AI providers (currently OpenRouter and OpenAI) to process queries. Your Content may be sent to these providers for the purpose of generating responses. See our Privacy Policy for details on sub-processors and international data transfers.

11. Service Availability

We aim to provide a reliable service but do not guarantee uninterrupted availability. We may perform maintenance, updates, or improvements that temporarily affect access. We will make reasonable efforts to provide advance notice of planned downtime.

We are not liable for any loss or damage arising from service interruptions, whether planned or unplanned.

12. Limitation of Liability

To the maximum extent permitted by law:

  • The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied.
  • We do not warrant that AI-generated responses will be accurate, complete, or fit for any particular purpose. You should independently verify any information provided by the Service before relying on it.
  • Our total aggregate liability to you for any claims arising from or related to the Service shall not exceed the amount you paid us in the 12 months preceding the claim.
  • We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunity.

Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.

13. Termination

You may close your Account at any time by contacting us at support@berengar.io.

We may suspend or terminate your Account if you breach these Terms, fail to pay fees when due, or if we are required to do so by law.

Upon termination:

  • We will provide you with a reasonable opportunity (at least 30 days) to export your data.
  • After the export period, we will delete Your Content from our systems, except where retention is required by law.
  • Refunds for prepaid fees are handled in accordance with Section 6 (Refunds).

14. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by email at least 30 days before they take effect. Your continued use of the Service after the changes take effect constitutes acceptance of the updated Terms.

If you do not agree with the changes, you may close your Account before the changes take effect.

15. Governing Law

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
